1. Definitions
QUDO Token: The native cryptocurrency of the QUDO platform.
Interoperable Gaming Assets (IGAs): Digital assets that can be used across
multiple games on the QUDO platform. IGAs are currently available on the QUDO test
network only, as described in section 5.
Proof-of-Gameplay: The mechanism used to reward users for playing games on the platform.
Platform: the QUDO website, dashboard, SDK, APIs, AI Playground, IGA Garage, Marketplace and all related services.
Adhering Game: a game that has integrated the QUDO SDK and is listed on the QUDO dashboard.
Block Rewards: the QUDO tokens generated periodically by the product’s smart contracts and distributed as described in the Whitepaper.
Network Rewards: the share of Block Rewards attributed to gamers and Adhering Games on the basis of gameplay activity.
Grab: the action by which you confirm you want to receive rewards attributed to you.
Stake and Minimum Stake: QUDO tokens locked by a user to obtain platform benefits, and, for game developers / service providers / guilds, the minimum amount required to publish a game / service / invite users.
Pocket Change Account: the account to which Staking Rewards are delivered, and from which tokens must be used at least once inside the ecosystem before they can be transferred.
QUDO Reserve Account: the account operated by us to which expired, forfeited and undistributed tokens are transferred, and from which product-related and promotional activity may be funded.
Guild: a team of gamers organised under a Guild Owner.
AI Playground: the tool to generate games via text prompt using AI, as described in section 16.7.
IGA Garage: the builder application used to create IGAs.
Wallet Provider: MetaKeep, the third-party provider whose hardware security infrastructure generates and holds the private key of your blockchain account, as described in section 15.1.6.
Whitepaper: the QUDO Commercial Whitepaper dated August 2026, as amended from time to time.
2. Platform Description
QUDO is a product brought to you by Block Bastards, Unipessoal Lda. (Block Bastards),
a company registered with the Portuguese Companies Registry under no. PT514804637,
having its registered office at Aldeamento Triângulo Norte, 45Q, Avenida Fernão de Magalhães,
3830-749 Gafanha da Nazaré, Portugal and operations office at Rua Dom Manuel Trindade Salgueiro,
307, Armazém 2, Cale da Vila, 3830-655 Gafanha da Nazaré, Portugal and with a share capital
of 5000.00€. Block Bastards is the data controller responsible for the processing of your personal
data on this Website and QUDO SDK, hereafter implied in every reference to "we", "us", "our", "BB",
"QUDO" and similar terms. QUDO offers a unique platform that can convert Web2 games to Web3 in
minutes, featuring a Global Credit System and Interoperable Gaming Assets.
By using our website and SDK (which is used in every adhering game), you confirm that you accept
the following terms and conditions of use (hereafter referred to as "Terms" or "T&C") and that
you agree to comply with them. If you do not agree to these Terms, you must not use QUDO,
including our website, dashboard and SDK features inside adhering games.
These terms and conditions govern your use of QUDO as a product, software, website, SDK, APIs and other services adherent to QUDO. When you create an account on QUDO or use our services, you agree to these terms.
QUDO is one of the products provided by Block Bastards. Therefore, these terms and conditions constitute an agreement between you and Block Bastards.
The platform also includes staking, Guilds and referrals, Interoperable Gaming Assets and the IGA Garage, the AI Playground, the Marketplace and the Incubator programme, each described further in these Terms. Not every feature is available at all times or in all territories, and some are experimental.
2.1 Regulatory status. Block Bastards notified and consulted the Comissão do Mercado de
Valores Mobiliários (CMVM), Portugal's financial markets regulator, on the application of Regulation
(EU) 2023/1114 ("MiCA") to QUDO. After several iterations, Block Bastards decided not to proceed with
an offer to the public or to seek admission to trading on a centralised platform, and to launch QUDO
as a fair launch, admitting the token to trading on Aerodrome, a fully decentralised exchange.
On that basis, the CMVM confirmed that the obligation to produce a MiCA white paper does not apply to
this launch. For that reason, the MiCA white paper prepared on a voluntary basis during
that processwas never published.
2.2 Block Bastards is not authorised, licensed or supervised by the CMVM, by Banco de Portugal
or by any other financial regulator, and nothing on the platform should be read as a statement that it is.
2.3 The Whitepaper. The Whitepaper is a commercial and technical description of the project.
It describes intentions and plans that may change, and anything marked in it as planned, future,
upcoming or to be confirmed is not a commitment and may never be released. The Whitepaper does not
form part of these Terms, and if anything in it conflicts with these Terms, these Terms prevail.
3. User Categories
QUDO, as described in its whitepaper, recognizes the following user categories:
- Gamers
- Game Developers
- Service Providers
- Gaming Guilds
Game Developers, Service Providers and Guild Owners act in a professional or
business capacity and are not consumers for the purposes of these Terms.
4. QUDO Token and Rewards
Users may grab QUDO tokens through various mechanisms, as better described in its whitepaper,
including:
- Network Rewards
- Performance Rewards
- Bug Spotting Rewards
- Challenge Rewards
- Staking Rewards
- Referral Rewards
Users acknowledge that:
- Network Rewards must be grabbed within one year of issuance.
- Ungrabbed rewards will be moved to the QUDO Reserve Account.
- The rate of token issuance is subject to change as outlined in the whitepaper.
- Rewards distribution may vary based on user activity, staking, and participation in new games, guilds, etc.
- Rewards are promotional allocations that we choose to make available. They are not earned, and they are not a wage, a fee, a debt, a prize you have won, or property you hold before they are credited to your account. They have no cash value.
- We may at any time change the amount, structure, eligibility rules and calculation of any reward, introduce or remove reward types, cap or suspend rewards, or discontinue any reward programme entirely. Receiving a reward in the past gives you no right to receive one in the future.
4.1 Reward manipulation. You must not obtain or attempt to obtain rewards other than through genuine use of the platform. Prohibited conduct includes the use of bots, scripts, emulators, modified clients, automated input, device farms, virtual machines used to simulate activity, multiple or coordinated accounts, self-referral, artificial Guild membership, and any arrangement whose purpose is to generate rewards without genuine gameplay. We may monitor for this, including by automated means, and may recalculate, withhold, reverse or cancel any reward, whether or not already credited, that we reasonably determine to have arisen from it.
4.2 Challenges on third-party stores. Where a Challenge asks a gamer to act on a third-party store or marketplace, including wishlisting a game or writing a review, the reward must be payable regardless of the content, sentiment or rating of anything the gamer writes. A Game Developer must not condition a reward on a review being positive, on a minimum star rating, or on an existing review being altered or removed. A gamer who writes a review in connection with a Challenge must disclose in the review that they received or expect to receive an incentive. The Game Developer warrants that the Challenge complies with the rules of every store concerned. We may remove any Challenge that breaches this clause and cancel the associated rewards.
5. Interoperable Gaming Assets (IGAs)
IGAs run on a test network only. The IGA feature, including the IGA Garage, is available exclusively on the QUDO test network. It is not deployed on the QUDO main network and IGAs are not part of the live QUDO economy. We make it available so that users can try it, experiment with it and enjoy it, and so that we can test and improve it. Everything else in this section should be read in that light.
- Users may mint, import and use IGAs across multiple games on the QUDO platform, within the test network.
- Ownership and transfer of IGAs are subject to the rules of the QUDO platform, underlying network (Telos) and decentralized file system (IPFS). In the case of IGAs the underlying network is the Telos Zero test network.
- QUDO does not guarantee the continued usability or value of IGAs in any specific game.
5.1 What a test network is. IGAs exist as records on a test network. A test network is a development environment used to try software before it is released. It is not the QUDO main network, it carries no economic activity, and records on it are separate from and not interchangeable with anything on the main network.
5.2 No value, and no residual value. IGAs created on the test network have no monetary value and are not intended to have any. No residual value attaches to them, none is recorded against them, and none is payable by us or by anyone else, now or at any time in the future. Any QUDO tokens used to create or transfer an IGA on the test network are test tokens which have no value and are not the QUDO token described in section 24. We do not sell IGAs and we do not charge for them. Nothing in this section creates a purchase, a product, a payment obligation, a debt or a claim of any kind against Block Bastards.
5.3 Test data may be reset or lost. A test network can be reset, restarted, rolled back, wiped or discontinued at any time, by us or by the operators of the network, with or without notice. If that happens, your IGAs and everything associated with them will be permanently lost. We give no warranty that any IGA will continue to exist, display, function or be retrievable, and no refund, compensation or replacement of any kind arises if it does not. Do not treat an IGA as property of value or as a place to keep anything you care about.
5.4 No commitment to move to the main network. We may in the future deploy IGAs to the QUDO main network, once we consider the feature sufficiently stable. That is a statement of current intention and not a commitment. We give no date, and we may never do it. If we do, we will publish the terms that apply at that time, and those terms will govern whether, how and on what conditions anything created on the test network is reflected on the main network. They may not preserve any IGA, attribute, history or value created during testing, and they may attach a residual value on different terms or none at all. You must not create, collect or value a test IGA in the expectation that it will carry over or become redeemable.
5.5 What you hold. Holding an IGA gives you the right to use the asset within adhering games that choose to support it, in accordance with the rules each game sets. It does not transfer to you any copyright, trade mark or other intellectual property right in the underlying artwork, design, templates or software, which remain with their respective owners.
5.6 No guarantee of interoperability. No game developer is obliged to support any IGA. A game that supports an IGA today may stop supporting it, may change how it behaves, or may leave the platform. The number of games supporting a given asset may go down as well as up. We give no warranty as to how an IGA will look, perform or behave in any game.
5.7 Transfers between users. Where you transfer an IGA to another user on the test network, we are not the seller, not the buyer and not a party to the transaction. We give no warranty as to title, authenticity, description or fitness, and we do not intermediate disputes. You must not offer, advertise, sell or exchange a test IGA for money, for QUDO tokens on the main network, or for anything else of value, and any such arrangement is at your own risk and is a breach of these Terms.
5.8 Creator warranties. If you create an IGA you warrant that you hold all rights necessary to do so, that it does not infringe any third party's rights, and that it does not contain unlawful or prohibited content. You are responsible for any claim arising from it and will hold us harmless against such a claim.
5.9 Data availability. IGA metadata and media are stored on a decentralised file system. If that content ceases to be hosted, the asset may stop displaying or working correctly. We do not guarantee that any content will remain available indefinitely.
5.10 Takedown. We may delist, hide, remove or refuse to display any IGA that we reasonably consider to infringe a third party's rights or to breach these Terms.
6. Accepting the Terms
- In order to use QUDO, you must firstly agree to these Terms and Conditions. You must not use our products and services if you don't accept these Terms and Conditions.
- You accept these Terms by ticking the acceptance box when you create your account. We record which version of these Terms you accepted and when. If you use the platform, including through the QUDO SDK inside an adhering game, without having created an account, you accept these Terms by that use.
- You may not use QUDO or accept the Terms and Conditions if you are not of legal age to form a binding contract with Block Bastards, or if you are a person who is either banned or otherwise legally prohibited from receiving our services or using our product under the laws of the country in which you are resident or from which you access or use our products and services.
- The current version of these Terms is always available on our website, together with an archive of previous versions.
7. Who Can Use QUDO
- You must be at least 18 years old.
- You must not be prohibited from receiving any aspect of our product and services under applicable laws.
- Your account must not have been previously disabled for violation of law or any of our policies.
- You must not be in a country where the use of QUDO and other Cryptocurrencies is not legal.
- You must not be connected to a Prohibited Jurisdiction as described in 7.2 below.
7.1 Age. We rely on your declaration that you are 18 or over. If we become aware that an account holder is under 18, we will close the account, delete the associated personal data in accordance with our Privacy Policy, and cancel any rewards attributed to it. No entitlement to rewards, tokens or compensation arises from an account opened in breach of this section.
7.2 Prohibited Jurisdictions. QUDO is not available in any capacity, and you are forbidden from using QUDO, its website, dashboard, SDK, AI Playground, IGA Garage, Marketplace, staking features or any adhering game, if you are resident in, a national of, incorporated in, located in, or accessing QUDO from:
- (a) any jurisdiction identified by the Financial Action Task Force (FATF) as a High-Risk Jurisdiction subject to a Call for Action, published and updated at https://www.fatf-gafi.org/en/countries/black-and-grey-lists.html;
- (b) any territory subject to comprehensive economic sanctions by the European Union, the United Nations Security Council, the United Kingdom or the United States Office of Foreign Assets Control;
- (c) any jurisdiction in which holding, receiving, transferring or using crypto-assets is unlawful.
7.3 Your representation. By using QUDO you represent and warrant that 7.2 does not apply to you, that you are not subject to any sanctions list maintained by the European Union, the United Nations, the United Kingdom or the United States Office of Foreign Assets Control, and that you are not acting on behalf of or for the benefit of any person to whom 7.2 applies.
7.4 Jurisdictions under Increased Monitoring. Where you are connected to a jurisdiction identified by the Financial Action Task Force as a Jurisdiction under Increased Monitoring, published at the same address, we may at our sole discretion apply enhanced identity and source-of-funds checks, impose limits on rewards, staking, transfers or Marketplace activity, withhold rewards pending verification, or decline to provide services to you. Nothing in this clause obliges us to provide services where we consider the risk unacceptable.
7.5 The lists change. The Financial Action Task Force updates both lists at its plenary meetings, normally three times each year. References in these Terms are to the lists as updated from time to time, and it is your responsibility to check your position. You can view both lists at any time at
https://www.fatf-gafi.org/en/countries/black-and-grey-lists.html. We are under no obligation to notify you of a change, and continued use of QUDO after a change repeats the representation you gave in 7.3.
7.6 Screening. We may screen you, your account, your registration data, your IP address, your device and any blockchain address you use with QUDO against the lists referred to above and against applicable sanctions lists, at registration and at any time afterwards, including by automated means.
7.7 Consequences. If we determine, or reasonably suspect, that 7.2 applies to you, we may without prior notice and without liability to you: suspend or terminate your account and any linked account; block access to any or all features; cancel any unclaimed or pending rewards; freeze or forfeit staked tokens held in a QUDO staking smart contract; withhold any payment otherwise due; and report the matter to the competent authorities. No refund, compensation, damages or reward entitlement arises from any action taken under this clause.
7.8 No circumvention. Using a virtual private network, proxy, relay, false declaration of residence, another person's identity or documents, or any other means to conceal or misrepresent your location, nationality or identity in order to access QUDO is a material breach of these Terms and entitles us to act under 7.7 immediately.
7.9 Identity and financial crime. We may at any time require you to provide identity documents, proof of address, proof of source of funds, and any other information we reasonably consider necessary to comply with applicable anti-money-laundering, counter-terrorist-financing, sanctions or tax legislation. We may refuse, delay or suspend any transaction, freeze an account pending review, and decline to provide any service, where we consider it necessary to comply with applicable law or to manage financial-crime risk. Where we are required to report a matter to a competent authority we may do so without notifying you, and we may be legally prohibited from telling you that a report has been made.
7.10 Limits of our control. The QUDO token exists on public blockchains that we do not own or operate, and we do not hold or control your private key (see section 15.1.6). Nothing in this section gives us the ability to reverse, block, freeze or recover a transaction made from your blockchain account, and nothing here is a representation that we can. The measures in 7.7 apply to your access to the platform, to rewards not yet grabbed, and to tokens locked in a QUDO staking smart contract.
8. General User Conduct
You agree not to use our products and services to:
- Obtain or attempt to obtain unauthorized access to the QUDO products and services, systems, network or data.
- Make available any content that is harmful, threatening, abusive, harassing, torrious, defamatory, vulgar, obscene, libelous, invasive of another's privacy, hateful, or racially, ethnically or otherwise objectionable.
- Impersonate any person or entity, forge or manipulate headers or identifiers to disguise the origin of any content transmitted through our product.
- Make available any content that you do not have the right to make available or that infringes any trade secret, copyright or other proprietary rights of any person or entity.
- Post content containing advertisement or other commercial solicitations without our prior written permission.
- Make available viruses, scripts or any other malicious computer code, files, programs or content designed to interrupt, destroy or limit the functionality of our product or affect other users.
- Interfere with or disrupt our products and respective servers, systems or networks connected to our products and services, including denial of service or any other attack.
- Try to cheat the system by accessing the platform with automated means of any nature without prior consent, excluding the QUDO SDK that is part of our product.
- Develop extensions, plugins or applications, unless you were explicitly requested to do so by the Block Bastards team.
On becoming aware of any potential violation of these Terms, Block Bastards reserves the right (but shall have no obligation) to decide whether the content complies with the requirements set out in these Terms, resulting in its removal and/or the decision to terminate a user's access to QUDO product in general and block respective access to QUDO token/Blockchain account. This action may be taken at any time, without prior notice and at its sole discretion.
Where we remove content, restrict a listing, suspend or terminate an account, or cancel rewards, we will tell you what we did and why, unless the law prevents us from doing so. You may contest the decision free of charge by writing to qudo.support@blockbastards.io within three months, and it will be reviewed by someone who was not responsible for the original decision. If we conclude that we got it wrong, we will reverse it. We may stop handling reports or complaints from a user who repeatedly sends ones that are manifestly unfounded, after warning that user.
9. Governing Law and Venue
These T&Cs shall be interpreted in accordance with the Portuguese Law. Any disputes arising from the use of the QUDO platform or QUDO tokens shall be resolved through the Aveiro Judicial District Court, which is hereby established as the venue before which any litigation arising therefrom shall be discussed, with express waiver of any other. These Terms and Conditions will be binding on and will inure to the benefit of the legal representatives, successors and assigns of the parties hereto.
9.1 Consumers. If you are a consumer resident in the European Union, the choice of Portuguese law above does not deprive you of the protection of the mandatory rules of the law of your country of residence, and the venue clause above does not apply to you. You may bring proceedings against us in the courts of Portugal or in the courts of your own country of residence, and we may bring proceedings against you only in the courts of your country of residence, in accordance with Regulation (EU) 1215/2012. The venue clause above applies in full to users who are not consumers.
9.2 Complaints and alternative dispute resolution. Please raise any complaint with us first, at qudo.support@blockbastards.io. In accordance with Lei 144/2015 of 8 September, we inform consumers that in the event of a consumer dispute they may resort to an alternative dispute resolution entity. The entity with residual competence for disputes not covered by a sector-specific entity is CNIACC, Centro Nacional de Informação e Arbitragem de Conflitos de Consumo (
www.cniacc.pt). A full list of Portuguese alternative dispute resolution entities is available at
https://www.consumidor.gov.pt/. Block Bastards has not adhered to any alternative dispute resolution entity and is not bound to submit any dispute to arbitration.
10. Intellectual Property Rights
10.1 Developers Grant of License to QUDO
For the purposes of the provision of our Services and dashboard/website, you grant QUDO a
non-exclusive license, free of charge, for the entire world and for the duration of your contractual
collaboration with QUDO, to use the Content and data that you submit on the dashboard.
Specifically, you authorize us to display, distribute, publish, reproduce, represent, adapt, use and
translate any content you provide, and to broadcast it via dashboard or the website and any other
QUDO social media to all users worldwide.
In respect of material we have already published before your collaboration ends, including case studies,
promotional posts and archived announcements, this licence continues, so that we are not required
to withdraw material already in circulation.
10.2 Developers Intellectual Property
The intellectual property of all games included on the QUDO dashboard will remain a proprietorship of their game developers.
10.3 QUDO's IP Rights / Limited License
The intellectual property of QUDO is exclusive to Block Bastards and the use of QUDO SDK into the
developers' games does not grant them access to QUDO's IP. By using the QUDO platform, users grant
QUDO a non-exclusive, worldwide license to use, display, and distribute user-generated content
solely for the purpose of operating and promoting the platform.
10.4 Remedies
If you consider that your legitimate Intellectual property rights have been breached by the
introduction of certain content on the website or dashboard, you must notify QUDO and provide us
with the following:
- Your contact information or, if the claim is on behalf of a third party, a proof of your right to represent them.
- Identification of the specific content that you consider protected by intellectual property rights, as well as its location on the website, if applicable, by indicating the URL.
- Accreditation of the aforementioned Intellectual Property Rights and reasons for the supposed violation.
QUDO will cooperate with you to attempt to deal with the matter the best way possible.
10.5 Feedback
If you send us any suggestion, idea, feature request, bug report or other feedback about the platform, you agree that we may use it for any purpose, without restriction, without attribution and without any obligation or payment to you.
11. Game Developer Specific Terms
- a) Developers agree to integrate the QUDO SDK into their games.
- b) Developers will receive QUDO tokens based on Network Rewards and In-Game Unlocks performed by gamers in their games.
- c) Network Rewards for Developers may vary based on player activity in their games, performance rewards offered in-game and staking.
- d) Developers are responsible for ensuring their games comply with all applicable laws and regulations.
- e) QUDO reserves the right to remove games that violate platform policies or applicable laws.
- f) Developers warrant that they hold all rights necessary to publish the game and its content, that the game does not infringe any third party's rights, that it contains no unlawful content, and that it carries any age rating or content classification required in the territories where it is distributed.
- g) Developers are responsible for complying with the rules of every store or marketplace on which they distribute the game, including any rules those stores apply to blockchain features, tokens, digital currencies, rewards and in-app purchases. A developer must satisfy itself that the QUDO integration is permitted before publishing on any store.
- h) The QUDO SDK collects data about gameplay sessions inside the developer's game in order to calculate rewards. The developer is responsible for informing its players about that collection in its own privacy notice, for identifying a lawful basis for it, and for obtaining any consent required in its jurisdiction.
- i) Developers will indemnify Block Bastards against any third-party claim, and any resulting loss, damages, fines, costs and reasonable legal fees, arising from their game, its content, the Challenges they offer, or their breach of these Terms or of applicable law.
- j) Marketplaces and stores. We do not own, control or influence any store, marketplace or distribution platform on which a game is published. We are not liable for any decision taken by such a store, including any restriction, rejection, removal, delisting, suspension, age-rating decision, fee change, policy change or ban applied to a developer's game, to the QUDO integration, or to QUDO generally, whether or not that decision relates to blockchain features, tokens, digital currencies or rewards. A developer accepts that store policies change without notice, that a store may treat the QUDO integration as non-compliant at any time, and that this commercial risk sits with the developer. We give no warranty that the QUDO SDK is or will remain permitted by any store, and we are under no obligation to modify the SDK to satisfy any store's requirements. No refund, release of stake, compensation or damages arises from any such decision.
- k) Use of QUDO is at the developer's own risk. We are not liable to a developer for any loss or damage arising out of or in connection with the use of, or the inability to use, QUDO, the QUDO SDK, the dashboard, the rewarding mechanism or any other part of the platform. This includes lost revenue, lost profits, lost players, lost or reduced rewards, lost or corrupted data, business interruption, wasted expenditure, harm to reputation, and the cost of removing, replacing or reintegrating the SDK. A developer confirms that before integrating it satisfied itself that QUDO is suitable for its game and its business, and that it does not rely on any statement, representation or assurance not set out in these Terms.
This paragraph does not apply to consumers.
12. Role of Block Bastards / Limitation of Liability
We seek to provide our products and services to the best of our abilities and to specify clear guidelines for everyone who benefits from them.
These products and services, however, are provided "as is", and Block Bastards makes no guarantees that they will always be safe, secure, or error-free, or that they will function without disruptions, delays, or imperfections. It is not feasible to predict when issues might arise with these products and services. Accordingly, Block Bastards' liability shall be limited to the fullest extent permitted by applicable law, and under no circumstance will be liable for any lost profits, revenues, information or data, or consequential, special, indirect, exemplary, punitive, or accidental damages arising out of or related to these Terms or to the Block Bastards products and services, even if we have been advised of the possibility of such damages. However we are not responsible for the damages caused in case of any hacked systems or accounts. Nonetheless, we will do all the efforts to restore our system, but we cannot guarantee that your personal data and QUDO balance will be assured after the system restore.
In the event of Block Bastards being unable to perform its obligations under these Terms & Conditions because of natural disasters, pandemics, war, strikes, insolvency, equipment/transmission failure or damaged or other causes reasonably beyond its control, Block Bastards shall not be liable for any damages caused from such failure to perform and maintain our products and services. For the avoidance of doubt, this includes a halt, fork, reorganisation, consensus failure, congestion or attack affecting a blockchain we rely on, a failure or exploit of a bridge between blockchains, the failure of a decentralised file storage network, and the failure or withdrawal of any third-party service on which the platform depends, including the Wallet Provider.
Users acknowledge that:
- a) The QUDO platform is in ongoing development and features may change.
- b) Cryptocurrency values, including QUDO tokens, can be highly volatile.
- c) Regulatory changes may impact the functionality or legality of certain platform features.
- d) Block Bastards is not responsible for any loss of tokens due to user error or failure to claim rewards within the specified timeframe.
- e) Section 24 sets out the risks of using the platform and the nature of the QUDO token in full, and users acknowledge and accept those risks.
13. Operation, availability and functionalities of the Dashboard
We will try, as far as possible, to maintain the website and the QUDO dashboard accessible at all times. However, the use of the QUDO website and its dashboard or the use of certain features may be suspended or disrupted without prior notice, due to technical issues, technical maintenance, migration or updates, or even due to issues regarding the underlying blockchain which affect our products and services directly.
13.1 We give no service level commitment and promise no level of availability or uptime. We may add, change, restrict or discontinue any feature at any time. Where a change materially reduces a feature you rely on, we will give reasonable notice through the dashboard or by email where we can.
13.2 If we stop operating the platform. We may cease to operate QUDO. If we decide to do so, we will give at least 60 days' notice by email and on the website, will stop accepting new stakes, and will release game developer and service provider stakes that are not subject to forfeiture. Rewards not grabbed by the end of the notice period will be transferred to the QUDO Reserve Account. Tokens already held in your blockchain account are not affected, because we do not control them, although platform features that depend on our infrastructure will stop working. Nothing in this clause entitles you to compensation for the discontinuation of the platform or of any feature.
14. Your Licence to Use Block Bastards Products and Services
Block Bastards gives you royalty-free, non-assignable and non-exclusive licence to use our products as part of our services. This licence has the sole purpose of enabling you to use and enjoy the benefit of the products and services provided by Block Bastards, in the manner permitted by these Terms.
Our products and services are protected by copyright and other laws. Nothing in these T&Cs gives you the right to use Block Bastards name or any of its service/product, logos, domain names, and other distinctive brand features, except when authorized in writing by Block Bastards.
14.1 The QUDO SDK. The licence above extends to integrating and using the QUDO SDK solely for the purpose of connecting an adhering game to the platform. You must not reverse engineer, decompile, disassemble, modify or create derivative works of the SDK except to the extent that applicable law expressly permits it; redistribute, sublicense, sell or otherwise make the SDK available to any third party; or alter, intercept, spoof or otherwise interfere with the way the SDK measures and reports gameplay activity or rewards. Interfering with reward reporting is a material breach of these Terms.
14.2 SDK versions. We may release new versions of the SDK and deprecate old ones, giving reasonable notice through the dashboard. We support only the versions we identify as supported, and an adhering game running an unsupported version may stop receiving rewards or be delisted.
15. Account
15.1 Account Creation
In order to create an account and use QUDO services, you must comply with the points mentioned in
section 7 and the points mentioned below and be responsible for all use of the account created in
compliance with these Terms, including all unlocks using tokens associated with that account, as
well:

- 15.1.1 You must not create an account or use any of the QUDO services and features on behalf of any other person or legal entity.
- 15.1.2 If you surpass 5 successful account creations within 24 hours under the same IP address, your IP address may be temporarily suspended until we investigate the situation.
- 15.1.3 You may only create, own or control one account, unless you are a game developer, in which case you can also have a player account but not a service provider account. A Guild Owner may hold one Guild account in addition to a player account. If you still believe your case can represent an exception to this, you can request an additional account through our support contact at qudo.support@blockbastards.io.
- 15.1.4 We are under no obligation to approve any additional account. If we find out that you have opened or operated (in the past or present) an additional account without our permission, we reserve all rights, including but not limited to, terminating all your accounts, revoking your limited license to use the platform and collect your stake as game developer or service provider (if applicable) and taking whatever other means we find necessary to protect our users, us and the platform. Before any stake is forfeited we will tell you what we have found and give you at least 15 days to respond, and we will forfeit no more than is reasonably necessary to compensate the loss and cost caused.
- 15.1.5 Given its decentralized nature, the use of QUDO products is at your sole risk and we assume no responsibility for your transactions of funds, the actions or identity of any transfer recipient or sender. If any third party files a claim for a chargeback or we are otherwise informed of a dispute between you and another party, we are not responsible for intermediating, determining the veracity of claims or resolving the dispute. Issues between QUDO users should be resolved between themselves only.
- 15.1.6 When you create a QUDO account you will be awarded with a blockchain account (if you don't already have one) that will provide you the access to QUDO features. This account will give you the means to manage your QUDO tokens, so we need to ensure that you are only using one account. Therefore, we will need to confirm your account with your phone, using SMS or Telegram Two-Factor Verification. Your blockchain account is created and secured through MetaKeep, a third-party wallet provider. Your private key is generated and held inside hardware security modules operated by that provider, and access to it is bound to the identity credential you register with us. Keep in mind that the cost of each account might change in the future.
- 15.1.7 We do not hold or control your keys. Block Bastards does not generate, hold, store, control or have access to your private key, and is not technically able to obtain it. We cannot sign a transaction on your behalf, and we cannot move, transfer, freeze, seize, reverse or recover tokens held in your blockchain account. We cannot restore access to your blockchain account if you lose the identity credential it is bound to. Every operation on your blockchain account requires your own authorisation. We do not provide custody or administration of crypto-assets on your behalf and we do not act as your wallet provider. This clause concerns the private key of your blockchain account. It does not apply to tokens you have voluntarily locked in a QUDO staking smart contract, or to rewards attributed to you that you have not yet grabbed, which are dealt with in sections 4, 7.7, 15.2 and 16.
- 15.1.8 The Wallet Provider. Key generation and key storage are provided by MetaKeep under its own terms of service and privacy policy. We selected that provider and integrated it into the platform, but we do not operate its infrastructure, we do not control its security measures, and we cannot guarantee that it will remain available, solvent or secure. We are not liable for any act, omission, defect, failure, downtime, security breach, insolvency or discontinuation of the Wallet Provider, or for any loss of tokens or loss of access resulting from it. Nothing in this clause excludes our liability where a loss results from our own negligence. If the Wallet Provider ceases to operate, or if we cease to use it, we will make reasonable efforts to give you advance notice and to support a migration path, but we cannot guarantee that a migration path will be available.
- 15.1.9 Keep your credential safe. Your blockchain account is reachable through the identity credential you registered with us. If you lose access to that credential, or if another person obtains access to it, you may permanently lose access to your blockchain account and to every token in it. Neither we nor the Wallet Provider can restore that access. You are responsible for the security of the email account, phone number, device and authentication method you use with QUDO.
- 15.1.10 We recommend that you don't sell, transfer or allow any other person to access your account or login credentials, or offer to do so, since we won't be able to help recovering QUDO tokens resulting from any theft or fraudulent activity under these circumstances.
15.2 Account Termination
We may terminate or suspend your account without notifying you, if we reasonably determine that:
- 15.2.1 You have breached any part of these Terms.
- 15.2.2 We have stopped offering our products or services in your region (though we will normally post advance notice on our website and/or game if we plan to stop offering a core feature of our services in your region).
- 15.2.3 We are required to do so by law, by a court or by a competent authority, or section 7 applies to you.
If your account registers no activity for 3 years, we reserve the right to take the appropriate measures, including suspension or termination with proper notice (informing you by email prior to our final action).
Note: the blockchain account created for you and the QUDO tokens in it remain yours. Termination of your QUDO registration does not affect them, and we could not transfer them even if we wished to, because we do not control your private key. What termination ends is your registration as an off-chain user of the QUDO platform and your access to platform features. Rewards attributed to you but not yet grabbed at the date of termination are cancelled and moved into the QUDO Reserve Account, to be used in marketing activities and airdrops, among other product and community driven activities. Tokens locked in a QUDO staking smart contract are released to your blockchain account unless they are forfeited under 15.1.4 or 7.7.
16. QUDO Network
16.1 Rewarding Model
Each minute, a certain amount of QUDO tokens are generated and distributed as extensively mentioned on QUDO's whitepaper. The whitepaper is provided for information and does not form part of these Terms, as stated in section 2.3.
16.2 QUDO Rewards
- 16.2.1 QUDO constantly measures players activity and games being played, rewarding every minute the active players and respective games for this activity (game time). If you're a player, in order to get these tokens, you need to confirm your interest in receiving them via the QUDO dashboard or in-game SDK (the latter only available in games offered by marketplaces where this action is permitted) - otherwise, they will not be deposited in your account. Users need to grab these tokens; otherwise, they will expire and will be issued to the QUDO Reserve Account. We use this method to avoid issuing tokens that eventually won't be used by users who don't understand or value the QUDO token. Therefore, after one year, the possibility of grabbing these tokens will be cancelled and the user will lose the right to grab these tokens.
- 16.2.2 Players can also be given performance rewards (Achievement or Highscore rewards), but these are the responsibility of the game developers and it will work as a peer-to-peer (P2P) transfer of QUDO tokens, from the game's account to the player's account. We are not a party to that transfer and are not responsible for a game developer failing to fund it.
- 16.2.3 The use or intention to use bots in order to simulate gameplay activity is strictly forbidden and, in case of any suspect of such kind of action, the account will be automatically blacklisted until further investigation. The user will have the possibility to explain or argue this accusation. However, if we do not receive an explanation within 15 days or consider the explanation invalid, the account will remain inactive and it will be eventually deleted after 1 year. Rewards attributed to the deleted account but not yet grabbed will be transferred to the QUDO Reserve Account, and tokens locked in a QUDO staking smart contract may be forfeited. Tokens already held in the user's blockchain account are not affected, because we do not control them.
16.3 Adhering Services
Qudo promotes a list of Service Providers for the Gaming Industry, which will be available to the adhering Game Developers, to Guilds and to other Service Providers and will offer their services in exchange for QUDO tokens. These are adherent 3rd party services, validated by Block Bastards, and should represent a way to improve adhering Game Developers' games or to provide resources not existent in the Game Developer's, Service Provider's or Guild's team.
- 16.3.1 Besides the fee collected (currently 5%, but prone to changes in the future) collected by QUDO when a service is hired using QUDO tokens, we don't collect any additional commission from the services listed inside the QUDO platform nor we assume any responsibility for the success or failure of delivering these services. Nonetheless, we will do our due diligence regarding the service quality and applicability on our dashboard.
- 16.3.2 Service providers that use our platform to establish contact with potential service-users and then offer them their services outside the QUDO platform and without using QUDO token will eventually be banned from the platform and their stake will be lost, but not before having the right to clarify the event to the QUDO platform management team.
- 16.3.3 Where a service is arranged through the platform, the contract for that service is between the service provider and the party hiring them. We are not a party to it, we are not the supplier, we do not guarantee quality, timing or outcome, and we are not responsible for a failure to deliver. Before a service provider may list services, we will collect and where required verify identification information about them. We may suspend a listing at our own discretion.
16.4 Games & Game Developers
QUDO powered games will be promoted on the QUDO dashboard for the QUDO community to be aware of the games where they can get and use QUDO tokens. We are not a marketplace. Instead, we list the marketplaces and alternative means of downloading and/or playing these games, also providing information about the games (filled in by the respective developers) and creating a vibrant and engaged community via challenges and results in terms of rewards collected.
- 16.4.1 Similar to the section 16.3.1, we don't assume responsibility for any defective games or malicious in-game actions towards players.
- 16.4.2 Game Developers, Service Providers or Guilds who get services under the conditions mentioned in the section 16.3.2 will eventually be banned and lose their stake, but not before having the right to clarify the event to the QUDO platform management team.
- 16.4.3 We are not liable for the eventuality of marketplaces banning QUDO and its adhering games. Nonetheless, we will perform all the necessary actions to be compliant with the main marketplaces and, in case of a game being banned from its marketplace, we will provide assistance in the best way we can.
- 16.4.4 In such an event, which we don't control, the studio/developer responsible for the affected game should temporarily disable the QUDO integration in the game version available for the specific platform/marketplace causing the problem until we help solve this situation. Other versions for other marketplaces should keep the QUDO integration and the respective rewards will continue being deposited on that game's wallet.
16.5 Staking
- 16.5.1 Staking means locking QUDO tokens in order to obtain platform benefits, including a higher share of Network Rewards, a share of Staking Rewards, reduced fees on transfers between QUDO chains, for game developers, the ability to publish a game, for service providers, the ability to publish a service, and for guilds, the ability to invite gamers, among other benefits.
- 16.5.2 Staking is optional for gamers. Staking is mandatory for game developers, service providers and guilds. Taking gamers as an example, in order to publish a game, a game developer must stake at least the Minimum Stake for that game and maintain it. If their stake falls below the Minimum Stake we may suspend the listing of the game concerned until the Minimum Stake is restored. The same principle applies to service providers and guilds.
- 16.5.3 Staking is not a deposit, a loan to us, a savings product or an investment. Staked tokens do not earn interest. Staking Rewards are a share of Block Rewards, are variable and discretionary, and may be reduced or discontinued.
- 16.5.4 You acknowledge the following characteristics of the calculation, which are inherent to how the product operates and are not defects. A user who stakes or unstakes, in whole or in part, while a reward calculation is running is not counted in that calculation and is counted in the next one, and the undistributed remainder is transferred to the QUDO Reserve Account. Because of the four decimal place limit of the underlying protocol, a staking allocation representing less than 0.0001 of the total staking pool may be discarded.
- 16.5.5 Staking Rewards are delivered to your Pocket Change Account. Tokens in that account must be used at least once inside the ecosystem before they can be transferred to another user or moved out of the ecosystem. Once they have been used once, the new holder holds them without that restriction.
- 16.5.6 Unstaking may be subject to a waiting period, which we will publish in the dashboard and may change.
16.6 Guilds and Referrals
- 16.6.1 A Guild is a team of gamers organised under a Guild Owner. A Guild is not itself a gamer and cannot play. The Guild Owner is responsible for the conduct of the Guild account and for anything published under it, is not our agent, and we are not a party to any arrangement between a Guild Owner and Guild members.
- 16.6.2 Where a Guild member is active, the applicable share of Network Rewards is split between the member and the Guild in the proportions described in the whitepaper. We calculate and deliver that split automatically. We do not mediate, arbitrate or take any position in disputes between a Guild Owner and Guild members.
- 16.6.3 If a Guild is dissolved, or a Guild Owner leaves or is terminated, rewards attributable to the Guild cease and any rewards not yet grabbed are transferred to the QUDO Reserve Account.
- 16.6.4 Guild rankings, Top Gaming Guild positions and QUDO Partner Seats are determined by us, are reviewed periodically, and are allocated at our discretion. There is no entitlement to a ranking position or a Partner Seat, and we may change the criteria, the review period and the associated benefits at any time.
- 16.6.5 Any gamer may share a referral code and become a Referrer. Where a referred gamer is active, the Referrer receives an additional allocation as described in the whitepaper. If the referred gamer joins a Guild, the link to the Referrer is replaced by the link to the Guild and the Referrer's additional allocation for that gamer ends. This is how the system is designed to work and is not a fault.
- 16.6.6 Self-referral, referral of accounts you control, purchased referrals, referrals obtained by spam or misrepresentation, and referral of accounts created solely to generate rewards, are prohibited. Guilds formed principally to generate rewards without genuine gameplay are prohibited. We may cancel rewards we reasonably determine to have arisen from such conduct.
16.7 QUDO AI Playground
- 16.7.1 What it is. The QUDO AI Playground lets you generate a rough, quickly playable version of a game idea from a text prompt, so that you can test whether the idea works. It is a prototyping tool. It does not produce a finished or commercially ready game, and we make no representation that any output will be complete, functional, original, performant or fit for any purpose. Prompt allowances and publishing may require QUDO tokens, and those requirements may change.
- 16.7.2 You are interacting with an AI system. The AI Playground uses artificial intelligence systems, including systems operated by third parties. Content generated through the AI Playground is artificially generated or manipulated, is marked as such where technically feasible, and is identified as AI-generated where it is published on QUDO.
- 16.7.3 No memory between sessions. Each session in the AI Playground is independent. It does not retain or reuse the content of your previous sessions, and it does not carry information from one user's session into another's.
- 16.7.4 We do not train on your prompts. We do not use your prompts or the output generated from them to train or improve any artificial intelligence model.
- 16.7.5 Your prompts. You are responsible for everything you submit. You must not submit any prompt or content that infringes another person's intellectual property, depicts a real identifiable person without their consent, is unlawful, sexualises minors, promotes violence, terrorism, self-harm or hatred, or is designed to extract, replicate or reverse engineer any underlying model. You must not use the AI Playground to build or train a competing product.
- 16.7.6 Processing by third parties. Prompts and generated content may be transmitted to and processed by third-party model providers under their own terms. We do not warrant the confidentiality of anything you submit, and you should not submit confidential or commercially sensitive information.
- 16.7.7 Rights in output. As between you and us, you own the output generated from your prompts, to the extent that such output is capable of ownership. You acknowledge that purely AI-generated material may not attract copyright or any other intellectual property right under Portuguese or European Union law, that we grant no exclusivity in it, and that identical or substantially similar output may be generated for other users. We give no warranty that output does not infringe the rights of a third party, and you are responsible for satisfying yourself on that before publishing or commercialising it.
- 16.7.8 Licence to us. You grant Block Bastards a non-exclusive, worldwide, royalty-free licence to host, reproduce, display, distribute and promote any game or content you publish through the AI Playground, for the purpose of operating and promoting QUDO, for as long as it remains published and afterwards in respect of material already published.
- 16.7.9 Moderation. We may review, refuse, restrict, unpublish or delete any prompt, output or published AI Playground game at any time, including by automated means, where we consider it to breach these Terms or applicable law, or to create a risk to the platform or its users. Section 8 applies to how we tell you and how you can contest it.
- 16.7.10 Rewards. Rewards attributed to AI Playground creations are calculated from genuine community play and engagement. Artificially inflating engagement is prohibited under section 4.1.
- 16.7.11 Selection for full development. We may invite the creators of popular AI Playground games to develop them further with QUDO's support. Any such invitation is at our sole discretion, creates no obligation or entitlement, and any resulting collaboration will be governed by a separate written agreement. Nothing in these Terms transfers any right in your game idea to us, and nothing obliges us to develop, publish or promote it.
- 16.7.12 Availability. The AI Playground is experimental. Features, prompt limits, model providers and stored content may change, be suspended or be withdrawn without notice, and generated content may be lost. You should not rely on it to store anything you value.
16.8 Incubator
- 16.8.1 The Incubator is a tiered support programme for game developers. Admission, progression between tiers, and the support provided at each tier are decided by us at our sole discretion.
- 16.8.2 Participation creates no entitlement to funding, grants, promotion, introductions, publication or any specific outcome. Any milestone-based grant or co-marketing arrangement will be set out in a separate written agreement, and only that agreement is binding.
- 16.8.3 Nothing in the Incubator transfers any intellectual property in your game to us, gives us any equity or revenue share, or makes us a publisher of your game, unless a separate written agreement says so. We may change, suspend or discontinue the Incubator or any tier at any time.
16.9 Bug Spotting
- 16.9.1 Bug Spotting is a crowd testing feature. A game developer may enable it for a game so that gamers playing that game can report bugs they find and be rewarded in QUDO tokens for valid reports.
- 16.9.2 A game developer that enables Bug Spotting sets the reward range for its game and publishes it on that game's page on the QUDO dashboard. Reports are submitted from inside the game through the QUDO SDK.
- 16.9.3 When a bug is reported, the game developer is notified. Whether a report is valid is decided by the game developer alone. If the developer accepts the report, the gamer receives a reward within the range announced for that game. The developer is responsible for reviewing reports within a reasonable time, for deciding fairly and in good faith, and for funding and providing the reward. Rewards provided through this feature may be subject to the action fee described in section 19.2.
- 16.9.4 We do not review bug reports, do not decide whether a report is valid, do not set the reward and do not pay it. We are not a party to the arrangement between a gamer and a game developer under this feature. We do not guarantee that a report will be reviewed, accepted or rewarded, we do not mediate disputes about it, and a gamer has no claim against us in respect of a bug report.
- 16.9.5 Gamers must report bugs in good faith. Submitting false, duplicate, automated, trivial or deliberately induced reports, reporting a bug you caused, exploiting a bug for advantage instead of reporting it, or coordinating with others to inflate the number of reports, is prohibited and section 4.1 applies.
- 16.9.6 A game developer may disable Bug Spotting for its game at any time. We may suspend the feature for a game or across the platform, and we may remove a report that we reasonably determine to have arisen from conduct prohibited by 16.9.5.
17. Third Party Services and Applications
We may contract third party services to collaborate with QUDO, in order to improve the quality of our products and maintain a secure environment for all users. However, if you authorize a third-party application to connect to your account, the user assumes all risks associated with those connections and actions.
- 17.1 The platform depends on infrastructure operated by third parties, including the Telos (Zero and EVM) network, the Base network, the bridging technology connecting them (Layer-Zero), the Wallet Provider, a decentralised file storage, third-party multiple artificial intelligence model providers, hosting and analytics providers, and any trading venue on which the token is available. We do not control any of them. We are not liable for their failure, downtime, security breach, change of terms or discontinuation, or for any loss arising from them.
- 17.2 Bridging tokens between networks carries specific risk. Bridges have been a recurring point of failure across this industry, and an exploit or failure of a bridge can result in the total and irrecoverable loss of assets in transit. You bridge at your own risk.
18. Electronic Communications
- 18.1 We may be required to provide you with certain periodic legal statements and other types of communications to you in a written form. Pursuant to these T&C, we will deliver such communications to you in electronic form.
- 18.2 By agreeing to these terms, you agree to receive all our communications regarding the access and use of QUDO electronically, either by email, text messaging, "in-app" messaging or by posting a communication on the QUDO platform.
- 18.3 You are responsible for opening and reviewing all communications that we deliver to you through the methods described above (section 18.2). You must keep your contact details up to date.
19. Taxes
- 19.1 Depending on where you live, you may or may not have to pay taxes in addition to the eventual fees for acquiring one or more services/products from Block Bastards. By making any purchase using QUDO, you agree that you are aware of the taxes in your country/area and will pay them in full.
- 19.2 Additionally, although QUDO is a free-to-use product, eventual action fees such as in-game unlocks, performance rewards, service hirings and bug spotting, (currently 5% in most of these actions), or QUDO tokens purchase may include taxes to third-party marketplaces that require a certain percentage from any purchase. As a result, whenever you, as a player, perform such an action, the value taken from your account may not be the same as the value received by the game's wallet, due to eventual applicable marketplace fees, which are not fees associated with QUDO. Again, QUDO is free to use and we take no royalties from transfers between its stakeholders. These marketplaces fees allow games to be available in the main marketplaces. However, we cannot ensure that the games are 100% protected from a possible marketplace ban, since we do not control the marketplace's decisions.
- 19.3 You agree that you will take all responsibility for determining any tax implications associated with the use of QUDO in your country as well as consulting an accountant, lawyer or tax authorities in your jurisdiction to determine any tax consequences. We give no tax advice.
- 19.4 Tax reporting. We may be required, under Council Directive (EU) 2023/2226 (DAC8) and the Portuguese legislation implementing it or under equivalent rules elsewhere, to collect information about you including your name, address, country or countries of tax residence, tax identification number, date and place of birth, and details of your transactions, and to report that information to the Portuguese tax authority, which may exchange it with the tax authorities of other countries. You agree to provide that information promptly on request and to notify us of any change, and we may suspend your account until you do. Where we are required to report, we will do so without needing your further consent.
20. Hyperlinks
Our QUDO Product platforms, including websites, SDK, etc, contain hyperlinks to other websites. We do not control those websites and we are not responsible for their content. By including these links, we are not endorsing the material on those websites or implying any association with their operators.

22. Privacy and Data Protection
QUDO collects and processes user data, including gameplay statistics, for the purpose of operating the reward system and improving the platform.
How we do this, the purposes, the legal bases we rely on, who receives the data, how long we keep it and the rights you have are set out in our Privacy Policy, available at
https://qudo.io/documents/privacy_policy.html, which forms part of these Terms.
- 22.1 We use automated processing to calculate rewards, to detect reward manipulation and bot activity, and to screen against sanctions and jurisdiction lists. Where an automated decision significantly affects you, you may ask for human review through the route in section 8.
- 22.2 Blockchain data is permanent. Transactions, balances, blockchain account names and asset records are written to public blockchains. That data is public, is replicated across independent computers worldwide, and cannot be altered or deleted by us or by anyone else. This means that the rights of rectification and erasure under Articles 16 and 17 GDPR cannot be given effect in respect of on-chain data. Before you carry out any on-chain transaction you should understand that it is permanent and public. We can delete your off-chain registration data and will do so on request in accordance with the Privacy Policy, but we cannot delete the on-chain data.
23. Amendments to Terms
QUDO reserves the right to update these terms and conditions to reflect changes in the platform, token economics, or regulatory requirements. Users will be notified of significant changes and continued use of the platform constitutes acceptance of the updated terms.
- 23.1 We will give at least 30 days' notice of any change that materially affects your rights or obligations, by email to the address registered on your account and by notice in the dashboard. Minor changes, corrections and clarifications may take effect on publication. If you do not accept a change you may terminate your account before it takes effect, and during the notice period you may grab any rewards already attributed to you and unstake any tokens you have locked. Starting with the QUDO main net launch, the product is considered effectively launched. From this moment on, every version carries a version number and an effective date, and previous versions remain available on our website.
24. Nature of the QUDO Token, Risks and Trading Venues
24.1 What the QUDO token is, and what it is not
- 24.1.1 The QUDO token is a utility token. Its function is to be used inside the platform and inside
adhering games, for the purposes described in these Terms.
- 24.1.2 The QUDO token is not, and is not intended to be, a financial instrument, a transferable
security, a share, a bond, a unit in a collective investment undertaking, a derivative,
electronic money, a deposit, a currency, or any other regulated financial product.
- 24.1.3 Holding QUDO tokens gives you no ownership interest in Block Bastards, no shareholding,
no voting right in the company, no right to dividends, profits, revenue or distributions,
no right to redeem the token against Block Bastards for money or for anything else,
and no claim of any kind against Block Bastards or its assets.
- 24.1.4 We do not offer the QUDO token as an investment. We make no promise, projection, prediction,
guarantee or representation, express or implied, about the price of the QUDO token,
its future value, its liquidity, its listing on any venue, or any return you might obtain.
You must not acquire or hold QUDO tokens in the expectation of profit.
- 24.1.5 Nothing published by us, on the platform, in the whitepaper, on social media,
in any presentation, or by any member of our team or any advisor, is investment,
financial, legal, accounting or tax advice, and none of it should be relied on as such.
- 24.1.6 Rewards attributed through the platform are not remuneration, wages, salary, income
guaranteed by us, or consideration for services rendered to us.
24.2 Risks you accept
You acknowledge that you have read and understood the following risks and that you accept them.
- Value. The value of crypto-assets, including the QUDO token,
can move sharply and unpredictably. The QUDO token may lose all of its value,
and it may become impossible to exchange it for anything at all.
- Irreversibility. Blockchain transactions cannot be reversed,
cancelled or recalled once confirmed. If you send tokens to the wrong address they are gone,
and neither we nor anyone else can retrieve them.
- Keys and credentials. If you lose access to your private key, or to the
identity credential your blockchain account is bound to, or if either is obtained by someone
else, you lose your tokens permanently. We cannot recover them, and neither can the Wallet Provider.
- Technology. Smart contracts may contain defects. The blockchains we rely on may halt,
fork, suffer a consensus failure, be attacked or cease to operate. Bridges between blockchains
are a known point of failure in this industry and have been exploited on other projects with
total loss of the assets in transit.
- Asset data. Data associated with IGAs is stored on a decentralised file system.
If it ceases to be hosted, the asset may stop displaying or functioning correctly.
- Markets. Any trading venue on which the QUDO token is available may cease to support it,
may be attacked, may fail, or may become unavailable in your jurisdiction.
Liquidity may be thin or absent.
- Regulation. The legal treatment of crypto-assets is changing.
A change in law, regulation or its interpretation may make some or all platform features
unlawful, impossible or commercially unviable in your country or in ours, at short notice or none.
- The platform. QUDO is in ongoing development. Features may change, be suspended or
be removed, rewards may be reduced or ended, and the platform may be discontinued entirely as
described in section 13.2.
- Third parties. Adhering games, service providers, marketplaces, app stores,
the Wallet Provider and AI model providers are outside our control, and their decisions
may affect your use of QUDO.
24.3 Trading venues
- 24.3.1 We do not operate, control, own, manage or endorse any exchange,
decentralised exchange, liquidity pool, automated market maker or other
trading venue on which the QUDO token may be available.
- 24.3.2 Any acquisition or disposal of QUDO tokens by you on such a venue
is a transaction between you and that venue or its participants.
It is not a transaction with us. We are not a party to it, we receive nothing from it,
and we have no obligation in respect of it.
- 24.3.3 We give no undertaking to maintain liquidity, to support or defend any price,
to buy back tokens, to prevent a price movement, to obtain or maintain any listing,
or to continue any existing listing.
- 24.3.4 You are responsible for satisfying yourself that using any third-party venue is
lawful for you, and for accepting that venue's own terms and risks.
24.4 Airdrops and promotions
Any airdrop, giveaway, competition or promotional distribution we run is entirely discretionary.
Eligibility is determined by us for each promotion, no entitlement arises from having been
eligible before, jurisdictions excluded under section 7 are excluded, and we may amend,
suspend or cancel any promotion at any time.
24.5 Not gambling
QUDO offers no games of chance, no wagering, no betting and no paid randomised rewards.
Challenges, achievements, highscores and rankings are determined by skill or by measurable activity.
24.6 General
- 24.6.1 If any provision of these Terms is held to be invalid, unlawful or unenforceable,
it is severed to the minimum extent necessary and the remainder continues in full force.
- 24.6.2 If we do not enforce a right or provision, that is not a
waiver of it and doesnot prevent us enforcing it later.
- 24.6.3 These Terms, together with the Privacy Policy, are the entire agreement
between you and us in relation to the platform and replace any earlier understanding,
save for any separate written agreement we have signed with you.
- 24.6.4 You may not assign or transfer your rights or obligations under these
Terms without our written consent. We may assign or transfer ours to a group company
or in connection with a merger, acquisition, reorganisation or sale of assets,
provided your rights are not adversely affected.
- 24.6.5 Nothing in these Terms creates a partnership, joint venture, employment or
agency relationship between you and us, and you may not hold yourself out as
authorised to act for us.
- 24.6.6 Sections 5.4 to 5.8, 9, 10, 12, 15.1.7 to 15.1.9, 17, 19, 22 and 24
survive the termination of these Terms.
- 24.6.7 These Terms are drawn up in English. If we publish a translation,
it is provided for convenience and, in the event of any conflict,
the English version prevails, except where the mandatory law of a consumer's country
of residence requires otherwise.
